三、A 股份有限公司為公開發行公司，其業務經營極為成功，為使 A 公司之股份能更自 由流通，故 A 公司決定申請於店頭市場買賣。甲為 A 公司之董事長，於 A 公司申請 上櫃成功後，甲為了方便，並未在店頭市場交易買賣，而私下將部分股票出讓給另 位股東乙，試問依證交法規定，甲之行為是否合法？若 A 公司係申請上市成功，結 果是否有所不同？請詳細說明之。（25 分）

四、A 公開發行公司為手機大廠，公司申請上市時，在「公開說明書」之財務報表內， 隱匿因設計不良所造成財務重大損失，並仍然公布不實的財務資訊，造成公開說明 書主要內容虛偽不實。A 公司成功上市後，A 公司由於周轉不靈損失十億元，因而 暴露其財務危機，A 公司股票因此暴跌。A 公司之股東甲損失慘重。A 公司相關人士 均逃逸無蹤。甲乃控告 A 公司及其簽證會計師乙，請求賠償。試問依證券交易法規 定 A 公司是否有賠償責任？會計師乙在何種情形下，可作證券交易法上之免責抗 辯？（25 分）
